Our Corporate Law Practice
We provide comprehensive corporate counsel to a wide range of businesses, from small family owned enterprises to large corporations. Our attorneys serve as "outside general counsel" to many companies who do not have in-house general counsel. Our practice includes:
- Business formation. We work with clients to identify the tax and liability concerns of a new enterprise, so that we can select the business structure that is most suitable. We will also prepare and file all the necessary documents to set up your new business.
- Mergers and acquisitions. Our lawyers represent individuals and privately held companies in business acquisitions and sales.
- Tax matters. We advise clients regarding corporate tax matters, including tax issues related to private equity transactions and mergers and acquisitions.
- Business contracts. We negotiate, review and prepare all types of commercial agreements, including buy-sell agreements, vendor/distributor/customer agreements, non-compete and non-disclosure contracts, licensing agreements, and shareholder and partnership agreements.
- Corporate financing. We advise clients regarding the strategies available to obtain financing for expansion of existing business enterprises or the development of new markets and assist in the negotiation and documentation of financing transactions.
- Stock options and incentive plans. We advise clients regarding the efficacy of stock options and incentive plans. We also draft and successfully implement such plans.
- Business succession and tax planning. We will help you put plans in place to ensure the orderly transfer of business assets and control of your business in the event of death or disability.
